Throughout the site, these terms refer to the legal relations between LULAIROA Sourcing Network Inc. and our enterprise users, including bulk buyers, procurement agents, verified manufacturers, and industrial suppliers (collectively, "Users" or "you").

lulairoa.com offers this B2B trade platform, including all directories, VR inspection tools, Request For Quote (RFQ) builders, and global logistics brokerage services conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our platform, utilizing our digital supplier index, submitting sourcing specifications, or engaging in promotional programs, you participate in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including those additional policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation international buyers, verified manufacturing entities, independent trade representatives, and platform content contributors.

Please read these Terms of Service carefully before accessing our marketplace. If you do not agree to all terms and conditions of this agreement, you may not access the website or employ any platform services.

SECTION 1 - B2B DIRECTORY & USER STANDARDS

By agreeing to these Terms of Service, you represent that you are acting as a legitimate business entity or possess the legal capacity to represent your corporate enterprise under the laws of your local jurisdiction. You represent that you are of the legal age of majority in your state or province of residence to execute binding commercial contracts.

You may not use our platform, registered trade directory, supplier catalog data, or physical audit listings for any illegal, unauthorized, or anti-competitive purpose. You agree not to violate any domestic or international trade compliance laws, export control regulations, intellectual property laws, or environmental standards applicable to your transaction jurisdiction.

You must not transmit any malware, computer worms, viruses, security scanners, scraping tools, or any digital code of a disruptive or automated extraction nature targeting our server framework. A breach or violation of any of the User Standards will result in the immediate termination of your platform account and the forfeiture of verified status.

SECTION 2 - GENERAL MARKETPLACE CONDITIONS

We reserve the right to refuse platform access to any entity, company, or individual for legitimate security, compliance, or regulatory reasons at any time.

You understand that your company profile, RFQ descriptions, and uploaded product catalog images (excluding highly secure payment information and encrypted billing datasets) may be transferred unencrypted and involve (a) transmissions over various global cloud hosting networks, and (b) technical modifications to adapt to international data transmission standards. All corporate payment credentials and escrow accounts are perpetually encrypted using state-of-the-art cryptographic transfer standards.

You agree not to reproduce, duplicate, systematically copy, sell, monetize, resell, scrap, or exploit any portion of our database, custom-coded VR presentation elements, supplier profiles, verified directories, or algorithmic matchmaking structures without express, prior written authorization from us.

SECTION 3 - CORE ROLE OF LULAIROA AS A B2B MARKETPLACE (IMPORTANT DISCLAIMER)

LULAIROA Sourcing Network Inc. operates strictly as an intermediary digital platform for B2B global trade. We provide technology-driven matching tools, interactive 360° VR showrooms, and communication protocols.

You explicitly acknowledge and agree that LULAIROA is NOT a party to any bilateral transaction, purchasing order, supply contract, or shipment agreement made between buyers and suppliers on the platform. The actual transaction agreement is executed directly between the respective buyer and supplier. LULAIROA does not guarantee, warrant, or assume liability for the actual quality, safety, legality, conformity, shipment, or delivery of goods promoted by suppliers.

While we employ rigorous third-party audits (such as SGS and TÜV) to verified supplier credentials, any virtual tours, video walk-throughs, on-site capacity estimates, and testing logs are intended for reference purposes only. Users must perform their own due diligence prior to dispatching deposits or concluding high-value trade deals.

SECTION 4 - SOURCING RFQ & PRICE CALCULATOR ESTMATIONS

Any references to raw material costs, FOB/CIF shipment pricing, and container delivery estimations provided on the site or via our RFQ Interactive Calculator tool represent non-binding estimates. Real-time sourcing quotes are subject to direct manufacturer confirmation, bulk capacity changes, global raw material pricing shifts, and geopolitical logistics surcharges.

We reserve the right to modify, adjust, update, or discontinue platform services, pricing estimation tools, and structural category indices without prior notice at any time. We shall not be liable to you or to any third-party for any modification, rate change, suspension, or discontinue of our platform features.

SECTION 5 - INTELLECTUAL PROPERTY & AUDIT CONTENT

Certain proprietary multimedia materials—including but not limited to custom 360° virtual tours, verified company logos, industrial on-site video walk-throughs, and unique database catalogs—are protected under international intellectual property frameworks.

Suppliers uploading product formulations, CAS chemical records, CAD drawings, and equipment blueprints represent and warrant that they possess all necessary patents, licenses, and global distributing rights for said items. LULAIROA maintains a zero-tolerance policy for IP infringement. If you discover any unauthorized trademark or copyright usage on the platform, please immediately report the listing to our legal response desk at info@lulairoa.com.

SECTION 6 - VERIFIED REGISTRATION & COMPLIANT ACCOUNTS

To utilize high-value sourcing tools, access verified prices, and submit customized RFQ proposals, you must create a corporate user profile. You agree to provide current, comprehensive, accurate, and verifiable corporate information, corporate email domains, and financial registration documents as prompted during onboarding.

We reserve the right, in our sole discretion, to reject, suspend, or terminate corporate profiles that appear to be misleading, fraudulent, associated with blacklisted entities, or registered by non-genuine traders, resellers, or unauthorized distributors.

SECTION 7 - THIRD-PARTY LOGISTICS & AUDITING INTEGRATIONS

We may provide you with optional access to third-party shipping brokers, marine logistics partners, or certified quality-testing agencies (e.g., SGS, TÜV, Intertek) to facilitate smooth cross-border supply chains.

You acknowledge and agree that LULAIROA provides access to such tools on an "as is" and "as available" basis without any warranties, endorsements, or legal representations. We shall have no liability whatsoever arising from or relating to your engagement with independent third-party carriers or testing facilities.

SECTION 8 - PROHIBITED USES

In addition to other prohibitions set forth in these Terms, you are prohibited from using lulairoa.com or its structured database: (a) for any unlawful, predatory, or unauthorized commercial activity; (b) to solicit others to perform illegal acts; (c) to violate any international, federal, state, or provincial rules, ordinances, or trade embargoes; (d) to infringe upon or violate our intellectual property rights or those of other trading parties; (e) to submit false, misleading, or fraudulent sourcing specifications or company credentials; (f) to engage in web scraping, database crawling, phishing, pretexting, or automated parsing of our supplier directories; or (g) to bypass or circumvent the platform's security mechanisms. Violation of these rules will result in immediate termination of access and legal prosecution where applicable.

SECTION 9 - LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our platform services will be completely uninterrupted, timely, secure, or error-free, as database updates and cloud optimizations occur periodically.

IN NO CASE SHALL LULAIROA SOURCING NETWORK INC., OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND. THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST TRANSACTION REVENUE, LOST PRODUCTION SAVINGS, CARGO DAMAGE, SUPPLY CHAIN DELAYS, LOSS OF OPERATIONAL DATA, EQUIPMENT REPLACEMENT COSTS, OR ANY SIMILAR COMPENSATIONS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF ANY SERVICE OR COMPONENT PROCURED THROUGH THE PLATFORM.

SECTION 10 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LULAIROA Sourcing Network Inc., our parent enterprise, subsidiaries, corporate affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees harmless from any claim, demand, liability, or loss, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service, or your violation of any global laws or the rights of a third-party.

SECTION 11 - GOVERNING LAW & JURISDICTION

These Terms of Service and any separate platform agreements whereby we facilitate global sourcing services to you shall be governed by, and construed in accordance with, the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal actions or disputes arising under this agreement shall be submitted to the exclusive jurisdiction of the state or federal courts located in the State of Delaware, United States.
